Key Terms & Conditions

4.1 Hosting Management

The Fixed fee for the dedicated high-speed hosting environment, 24/7 Uptime Monitoring, and continuous SSL Certificate Management (installation and renewal).

4.2 Payment Terms

The ₱3,998.00 Monthly Investment** is due on the 15th of every month, starting on the Effective Date.

4.3 Term & Termination

This agreement is month-to-month. Either party may terminate with 30 days written notice.

Why do I need a website maintenance service?

Web hosting providers may or may not update your Core software for you (please check their policy), but all web hosts will not update your plugins.

Website plugins are created by multiple authors and are consistently updated to newer versions to comply with the latest version of software or to address security issues and bugs. It is not guaranteed that the mandated updates to the Core plugins will not break the website, nor that plugins will continue to function if not updated.

For this reason, having a trained web specialist on hand to monitor the website is necessary to update plugins, rollback plugins, replace plugins or even adjust the theme to continue optimal performance

 

What is included in the service?

  • Update Core System to the latest version
  • Update plugins to their latest version
  • Backup website database and site files (once a month)
  • Optimize the database
  • Perform SPAM & revisions cleanup
  • Run regular security and performance scans
  • Perform support requests
  • Provide a detailed Monthly Report of updates and findings
  • Provide ongoing email support
  • Additionally, the following “behind the scenes” features are included in every plan:
  • A dedicated support desk to track requests and development time
  • Regular site health checks
  • Uptime monitoring to keep us aware of any site performance issues.

 

Can I cancel anytime?

Yes, you can cancel anytime. You are under no obligation to continue the ongoing service. We just ask you to give us 30 days’ notice so we can carry out our last thorough update of the website and remove our administrator credentials.

1. Financial Commitment & Billing

2. Service Scope & Labor Limits

The Monthly Investment includes two primary services: Managed Hosting and the Maintenance Retainer.

Crucial Client Responsibility:

The Rebex Realty Inc.  is responsible for the domain registration and renewal.

We handle the site maintenance, but not the domain purchase itself.

 

3. Agreement Term & Termination

This contract is designed to be flexible and non-binding for long periods.

  • Term: The agreement operates on a month-to-month basis, starting on the Effective Date.

  • Termination: Either party may terminate the agreement for any reason by providing 30 days written notice before the next billing cycle.

1. Services & Scope

1.1 Managed Hosting Services

  • Premium high-speed web hosting environment

  • SSL certificate management & renewal

  • 24/7 uptime monitoring with immediate outage alerts

  • Daily automated backups with 30‑day retention

  • Performance optimization and backend maintenance

1.2 Proactive Maintenance Services

  • 6 hours of dedicated technical labor monthly

  • Content updates (text, images, documents)

  • CMS, theme, and plugin updates

  • Weekly security scans and vulnerability patching

  • Monthly activity reporting

 

2. Financial Terms

2.1 Monthly Investment

  • Total: ₱3,998.00 monthly Breakdown:

  • Managed Hosting: ₱998.00

  • Maintenance Retainer: ₱3,000.00

2.2 Payment Schedule

  • Invoices issued 7 days before the 15th

  • Payment due by the 15th of each month

  • Services may be suspended for accounts 30+ days overdue

 

3. Service Level Agreement

3.1 Performance Guarantees

  • 99.9% Uptime Guarantee

  • 24‑hour response time for support requests

  • 4‑hour emergency response for critical site downtime

  • Backup restoration within 6 business hours

3.2 Client Responsibilities

  • Provide timely content/material for updates

  • Maintain domain registration separately

  • Provide necessary access credentials

  • Respond to approval requests within 48 hours

 

4. Term & Termination

  • Agreement Term: Month‑to‑month from Effective Date

  • Termination: 30‑day written notice by either party

  • Immediate Termination: For illegal activities, material breach, or non‑payment (30+ days)

 

5. Limitations & Liabilities

5.1 Scope Limitations

Excludes:

  • Major website redesigns or new features

  • Custom development work

  • Graphic design services

  • Marketing/SEO campaigns

  • Third‑party software licensing fees

5.2 Liability Cap

  • Total liability limited to 3 months of fees

  • Not liable for indirect, consequential, or punitive damages

  • Not liable for third‑party service outages

  • Not liable for client‑caused issues or data loss

5.3 Data Protection

  • Daily automated backups with 30‑day retention

  • Regular backup integrity testing performed

  • Data breach notification within 24 hours of discovery

 

6. Intellectual Property

6.1 Client Rights

Client retains ownership of:

  • All website content, text, and images

  • Business data and customer information

  • Brand assets and intellectual property

6.2 Provider Rights

We retain rights to:

  • Use completed work in our portfolio

  • Use client name as reference (unless confidential)

  • Utilize tools, methods, and frameworks developed

 

7. General Provisions

  • Dispute Resolution: 30‑day negotiation period required; mediation in Manila, Philippines before legal action; prevailing party entitled to reasonable legal fees

  • Force Majeure: Not liable for delays or failures due to circumstances beyond reasonable control including acts of God, war, terrorism, internet outages, or third‑party service failures

  • Governing Law: This agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines

  • Entire Agreement: This document constitutes the entire agreement between Rebex Realty Inc. and AK Designs Ph, and supersedes all prior discussions, agreements, or understandings
